Transactions.  We have represented a number of purchasers and sellers of skilled nursing facilities in New York State and elsewhere, and are fully familiar with the complexities and peculiarities of such transactions, including certificates of need and licensure.  On behalf of medical service organizations, entrepreneurs and physicians groups, we have drafted the contractual framework for the establishment of several in-office diagnostic laboratories and radiology clinics and have negotiated such arrangements with major hospitals in the New York area.  Moreover, we are regularly consulted regarding contractual arrangements with vendors, suppliers and physicians, and are well-versed in the implications of such arrangements under federal and state antitrust, anti-referral and anti-kickback statutes and regulations.
